Mr. Liu Dewen, the person in charge of Just Electronic Technology (Dongguan) Co., Ltd., responded publicly to the "Letter to Creditors" issued by JFT through two supremes, pointing out that the letter was inaccurate, and elaborated in detail on JFT's abandonment of acquisition, unilateral termination of cooperation, and subsequent legal actions and patent disputes.

In December 2021, JFT confirmed by email that it would acquire 50% of the equity of Just Factory held by us, but suddenly changed its mind in September 2022, giving up the acquisition of equity and instead selling equity. And officially withdrew from Just in January 2023, for which it received a large amount of equity transfer payment.

 

At the same time as the equity withdrawal, JFT confirmed the JUSTFOG brand electronic cigarettes worth more than 60 million in inventory under the original commissioned processing agreement, but delayed paying the money and picking up the goods; after a few months of delay, JFT suddenly and unilaterally informed the termination of the commissioned processing cooperation, and JFT suddenly changed its mind, causing difficulties for Juste.

 

However, JFT's European agent still requested a small batch of JUSTFOG brand electronic cigarettes from its authorized domestic licensed trading company for sales. Unfortunately, the electronic cigarettes that had been produced under the original agreement were criminally accused of infringing its trademark rights by JFT's fishing enforcement. The purpose was so sinister that it was surprising. Of course, this farce could not be established. In this regard, Juste has always reserved the right to pursue the legal liability of the criminal accuser.

 

Subsequently, Juste took litigation, arbitration and other means to claim compensation, and preserved JFT's Chinese registered trademarks (JUSTFOG, etc.), and the bank accounts and patents of its wholly-owned subsidiary established in China to operate the electronic cigarette business. The breach of contract case will be heard in the near future.

 

At the same time, Juste also filed a patent confirmation lawsuit with the court because during the cooperation between the two parties, JFT appointed the head of R&D to transfer a large number of patents to its wholly-owned subsidiary while establishing a labor relationship with Juste, which seriously infringed Juste's rights.
